1. Agreement

These Terms of Service (“Terms”) govern your use of Surefile, an AI-powered e-filing service for Illinois courts, operated by Moore LLC dba Surefile (“Surefile,” “we,” “us,” or “our”). By creating an account or using our service, you agree to these Terms. If you do not agree, do not use Surefile.

2. Eligibility & Authorized Users

Surefile is available to licensed attorneys admitted to practice in Illinois and authorized staff acting under the supervision of such attorneys. By using Surefile, you represent that you are a licensed attorney in good standing with the Illinois ARDC, or that you are acting under the direct supervision of such an attorney who maintains an active Surefile account. You are responsible for all activity conducted through your account.

3. Description of Service

Surefile provides tools to upload legal documents, run AI-powered compliance checks against Illinois court rules, and submit filings electronically through the Illinois e-filing system (eFileIL). Surefile is a technology platform that assists with the administrative aspects of e-filing. Surefile does not practice law, does not provide legal advice, and does not replace the professional judgment of a licensed attorney.

4. Attorney Professional Responsibility

You acknowledge and agree that you, as the filing attorney, bear sole professional responsibility for every document filed through Surefile. Surefile’s AI-powered compliance checks are assistive tools that flag potential issues based on known Illinois court rules. They are not a substitute for your independent professional review. Compliance check results may include false positives or may not detect every rule violation. You are responsible for reviewing all flagged items, exercising your professional judgment in deciding whether to proceed, and ensuring that every filing complies with all applicable rules, statutes, and court orders.

5. AI Processing Consent

By using Surefile, you consent to the transmission of your uploaded documents to the Anthropic Claude API for compliance analysis purposes. Document content sent to Anthropic is processed under Anthropic’s commercial API terms and is not used to train AI models. You are responsible for ensuring that your use of Surefile, including the AI processing of client documents, complies with your obligations under the Illinois Rules of Professional Conduct, including but not limited to Rule 1.6 (Confidentiality of Information). The ARDC’s guidance on AI use in legal practice advises that attorneys should provide clients notice of the use of AI tools in their representation. We recommend you incorporate appropriate disclosure into your client engagement practices.

6. Fees & Payment

Surefile charges fees for filing services, which may include per-filing fees, subscription fees, or both. Applicable fees will be displayed before you confirm a filing. Court filing fees and EFSP convenience fees charged by the Illinois e-filing system are passed through at cost and are separate from Surefile’s service fees. Payments are processed by Stripe. We accept credit/debit cards and ACH bank transfers. All fees are non-refundable once a filing has been submitted to the court, except in cases where Surefile’s system error caused a duplicate or erroneous submission.

7. Document Ownership & Confidentiality

You retain all ownership rights in the documents you upload to Surefile. We do not claim any ownership interest in your documents or their contents. We treat all uploaded documents as confidential and handle them in accordance with our Privacy Policy. We access and process your documents only as necessary to provide the Surefile service, including compliance checking and filing submission.

8. Service Availability & Filing Deadlines

We make reasonable efforts to maintain service availability, but we do not guarantee uninterrupted access. Surefile is not responsible for filing failures or delays caused by outages of the Illinois e-filing system (eFileIL), internet connectivity issues outside our control, or force majeure events. You are solely responsible for meeting court filing deadlines. We strongly recommend submitting filings with sufficient lead time and not relying on Surefile as your only means of meeting a filing deadline.

9. Limitation of Liability

To the maximum extent permitted by law, Surefile’s total liability for any claims arising out of or related to your use of the service shall not exceed the total fees you paid to Surefile in the twelve (12) months preceding the claim. Surefile shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of clients, malpractice claims, sanctions, or adverse rulings arising from your use of the service. These limitations apply regardless of the legal theory of the claim.

10. Disclaimer of Warranties

Surefile is provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, that compliance checks will detect all rule violations, or that filings will be accepted by the court.

11. Indemnification

You agree to indemnify and hold harmless Surefile, Moore LLC, and their officers, members, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the service, your violation of these Terms, or any filing submitted through your account.

12. Account Suspension & Termination

We may suspend or terminate your account if we reasonably believe you have violated these Terms, if your ARDC registration is suspended or revoked, or if required by law. You may close your account at any time by contacting us. Upon termination, we will retain your data in accordance with our Privacy Policy and any applicable legal retention requirements.

13. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes by email at least 30 days before they take effect. Continued use of Surefile after the effective date of updated Terms constitutes your acceptance of the changes.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Illinois without regard to conflict of law principles. Any disputes arising from these Terms or your use of Surefile shall be resolved exclusively in the state or federal courts located in Cook County, Illinois.
